Terms & Conditions

These Terms & Conditions ("Terms") govern access to and use of the software platforms provided by Source Ai ("we", "us", "our"), including the Lucid Chat Agent, Source Business Solution, AI Audits, and Custom Software (together, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Who We Are

Source Ai is a software studio based in Hawke's Bay, New Zealand, building AI-native software for New Zealand businesses.

2. Eligibility and Accounts

You must be authorised to act on behalf of the business or organisation registering for the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. Use of the Service

You agree to use the Service only for lawful business purposes and in accordance with these Terms. You must not attempt to reverse-engineer, resell, sublicense, or interfere with the operation or security of the Service, or use it to store or transmit unlawful, infringing, or harmful content.

4. Beta and Early-Access Features

Some products or modules (including custom builds like Lucid DMS and CarTrader) may be offered as proof-of-concept, waitlist, founding-partner, or early-access features. These are provided "as is," may change significantly, and are not guaranteed to be feature-complete, error-free, or continuously available.

5. Customer Data

Any business data you upload or connect to the Service (e.g. sales, stock, workshop, or CRM data) remains your property. We process it solely to provide the Service to you, as described in our Privacy Policy. You are responsible for ensuring you have the right to upload and process any data you provide.

6. Third-Party Integrations

The Service may connect with third-party platforms (e.g. Xero, CarJam, Shopify, marketing platforms). We are not responsible for the availability, accuracy, or practices of third-party services, which are governed by their own terms.

7. Fees and Payment

Pricing for live products is agreed separately with each customer. Where fees apply, they will be set out in an order form, invoice, or separate agreement. Early-access and waitlist programmes may have preferential or introductory terms as communicated at the time of signup.

8. Intellectual Property

All software, designs, trademarks, and content that make up the Service are owned by Source Ai or its licensors. Nothing in these Terms transfers ownership of our intellectual property to you.

9. Availability and Support

We aim to keep the Service available and performant but do not guarantee uninterrupted access. Scheduled maintenance, updates, or issues affecting third-party integrations may cause temporary downtime.

10. Limitation of Liability

To the maximum extent permitted by law, Source Ai is not liable for indirect, incidental, or consequential loss arising from use of the Service. Nothing in these Terms limits any rights you have under the New Zealand Consumer Guarantees Act 1993 or Fair Trading Act 1986 that cannot be excluded.

11. Termination

We may suspend or terminate access to the Service for breach of these Terms, non-payment, or where continued provision is no longer viable. You may stop using the Service at any time; where a paid agreement is in place, its own termination terms apply.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via the Service or by email. Continued use after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of New Zealand, and any disputes are subject to the exclusive jurisdiction of the New Zealand courts.
